End-User License Agreement (EULA) mdsoft.dev Commercial License, Version 1.0 — effective 18 July 2026 This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Dzmitry Yuzepchuk, trading as mdsoft.dev, Arkadius-Geirhos- Straße 1c, 89250 Senden, Germany ("Licensor") for software extensions, themes, or other software products distributed by Licensor (the "Software"). Where the Software is purchased through a marketplace operated by a third party (e.g. Adobe Commerce Marketplace), the terms and conditions of that marketplace apply in addition to this Agreement. In the event of a conflict, the marketplace terms prevail to the extent of the conflict. 1. License Grant 1.1. Upon payment of the applicable fee, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to install and use the Software on one (1) production installation of the e-commerce platform for which the Software was purchased. 1.2. Licensee may additionally install the Software on a reasonable number of non-production environments (development, staging, testing) that support the licensed production installation, at no extra charge. 1.3. A separate license must be purchased for each additional production installation. 2. Restrictions Licensee may not: - distribute, resell, rent, lease, sublicense, or otherwise make the Software available to any third party, whether for a fee or free of charge; - publish the Software or any substantial part of its source code, including in public repositories; - remove or alter copyright notices or license information contained in the Software; - use the Software to provide a competing product. Licensee may modify the Software for their own use within the licensed installation. Modified versions remain subject to this Agreement. Licensor is not obliged to support modified versions. 3. Source Code The Software is delivered in source code form (PHP/JavaScript). This is a technical characteristic of the platform and does not constitute an open-source license. All rights not expressly granted remain with Licensor. 4. Intellectual Property The Software is protected by copyright. All intellectual property rights in the Software remain the exclusive property of Licensor. This Agreement grants a license, not a transfer of ownership. 5. Updates and Support 5.1. The scope and duration of updates and support are defined by the offering under which the Software was purchased (e.g. the support and update terms of the relevant marketplace listing). 5.2. Expiry of a support or update period does not affect Licensee's right to continue using the Software version already installed. 6. Warranty 6.1. Statutory warranty rights under German law (§§ 434 ff. BGB) apply to the purchased version of the Software. 6.2. Licensor does not warrant that the Software is free from minor defects, that it is compatible with third-party extensions not listed as supported, or that it will meet requirements arising from future platform versions outside the stated compatibility range. 7. Limitation of Liability 7.1. Licensor is liable without limitation for damages caused intentionally or by gross negligence, for injury to life, body, or health, and under the German Product Liability Act (Produkthaftungsgesetz). 7.2. In cases of slight negligence, Licensor is liable only for breaches of essential contractual obligations (Kardinalpflichten) — obligations whose fulfilment makes the proper performance of this Agreement possible in the first place and on whose fulfilment Licensee may regularly rely. In such cases, liability is limited to the foreseeable damage typical for this type of contract. 7.3. Any further liability is excluded. Licensee is responsible for regular backups of their systems and data. 8. Term and Termination 8.1. This Agreement is effective upon installation or use of the Software and remains in force unless terminated. 8.2. Licensor may terminate this Agreement with immediate effect if Licensee materially breaches it, in particular Section 2. Upon such termination, Licensee must cease using the Software and remove it from all installations. 8.3. Termination under Section 8.2 does not entitle Licensee to a refund of any fees already paid, without prejudice to the statutory rights referred to in Section 6.1. 9. Final Provisions 9.1. This Agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). 9.2. If Licensee is a merchant (Kaufmann), legal entity under public law, or special fund under public law, the place of jurisdiction is the registered seat of Licensor. 9.3. Should individual provisions of this Agreement be or become invalid, the validity of the remaining provisions remains unaffected. Contact: support@mdsoft.dev · https://www.mdsoft.dev
